Transactions Attorney

The Horizon Group is searching for a Transactions Attorney for one of our clients located in New York, NY. Our client is a fast-growing, specialty finance company that provides consumer and small business lenders with asset-based credit facilities and other sources of financing.

Job Overview:

Our client's transactions team seeks to add an experienced, mid-level commercial finance attorney to its growing ranks. This lawyer will work on the business side as a member of the deal team, and will take the lead on managing and closing individual credit facility transactions. The role will be one that combines both legal and business aspects of the commercial finance transactions, with a focus on deal execution. Accordingly, the ideal candidate will be a person with (1) a robust understanding of the legal issues in receivables-based secured lending transactions, (2) strong experience in successfully closing secured lending transactions, and (3) a desire to learn and grow in a legal / business role. In addition, this junior lawyer should have outstanding organizational, interpersonal and communication skills, be capable of prioritizing responsibilities, and have the desire to work with internal and external customers. This role reports directly to the Head of Banking/Originations. Although this attorney will work closely with the company's internal legal team, the role is not seated within internal legal.



Job Responsibilities:

  • Under supervision of Head of Banking, taking ownership of individual credit transactions and leading them to successful closing.
  • Participating in initial business discussions and preliminary due diligence, with a view towards front-running any legal issues and determining appropriate transaction structure.
  • Drafting, negotiating and finalizing letters of intent and term sheets.
  • Managing and supervising outside counsel in preparation of transaction documents, including reviewing and negotiating transaction documents.
  • Communicating open issues to internal constituents (credit, operations, legal, compliance) and managing prompt resolution of same.
  • As needed, drafting legal documents for minor amendments, waivers and other one-off agreements.
  • As needed, provide support for special projects relating to finance transactions.


Skills and Qualifications:

  • 3-5 years of relevant law-firm experience in sophisticated secured lending transactions. Experience with warehouse and term credit facilities secured by consumer loans or small business receivables is a plus.
  • JD degree from a well regarded law school and membership (in good standing) in a US state bar.
  • Excellent business judgment and interpersonal skills, to facilitate negotiations with external and internal constituencies.
  • Agile and flexible thinker; ability to be a quick study.
  • Strong interpersonal and problem-solving skills, meticulous attention to detail, an eye for business, proactivity, and an excellent attitude.
  • Self-motivation and a willingness to take ownership of projects.
  • Natural self-starter, with the ability to work efficiently (both solo and as part of a team).
  • Outstanding integrity and work ethic.
